Sweepstakes Terms of Use
These Terms and Conditions ("Terms") govern the Your voluntary participation in the Oyster Sweepstakes ("Sweepstakes") made available by Oyster HR, Inc. ("Oyster"), a Delaware corporation with a registered office at Brandywine Plaza,1 521 Concord Pike, Suite 201, Wilmington, DE 19803 USA. By participating, Entrants (as defined below) acknowledge and agree to be bound by these Terms and the decisions of Oyster made in relation to the Sweepstakes in accordance with these Terms.
1. Eligibility and Entry
a. Eligibility. To be eligible and enter the Sweepstakes, You must be 21 years or older (or older age of majority required by the laws of the jurisdiction of residence of the person) and You must submit an entry form at https://form.typeform.com/to/qSAzeNDM ("Entry Form"). You are not eligible if participation in the Sweepstakes is prohibited in the country where You compelte the Entry Form. Each eligible perrson, as determined by Oyster in its sole discretion, is an "Entrant."
b. Deadline. Entry is open to Entrants who submit a valid entry on or before March 17, 2025 by 12:00 PM PST.
c. How To Enter. To enter and be eligible to win the Sweepstakes, Entrants must submit the information requested by Oyster on the Entry Form available at and any other information required in Oyster's sole discretion, in accordance with the prompts provided in the Entry Form.
d. No Purchase Necessary. Multiple entries are NOT allowed. An Entrant may enter the Sweepstakes only after confirming the Sweepstakes does not breach any law or regulation of the jurisdiction in which they are resident. No purchase or payment is required to be made by the Entrant to enter the Sweepstakes. Making a purchase of payment of any kind will not increase an Entrant's chances of winning the Sweepstakes.
e. Void Where Prohibited By Law. Entrants are solely responsible for determining whether the Sweepstakes breaches any law or regulation of the jurisdiction in which they are resident.
f. Prohibited Conduct. Entries must not, in the sole and unfettered discretion of Oyster, contain obscene, provocative, defamatory, sexually explicit, or otherwise objectionable or inappropriate content, content containing unsolicited commercial messages (spam), or content that infringes on the intellectual property rights of a person.
g. Ineligibility. The Sweepstakes is not open to employees, contractors, ambassadors and other representatives of Oyster or its affiliated companies or their immediate families, or to anyone professionally connected with the Sweepstakes. Oyster reserves the right to review the eligibility of the potential Winners before a Prize is awarded.
h. Oyster Is Not Responsible. Oyster accepts no responsibility for late entries or entries not received for any reason.
i. Entries Are Oyster Property. All entries become the property of Oyster.
2. Prize
a. The prize (the "Prize") is one (1) ticket to the Dear HR: Postcards from Tomorrow's Workplace private event hosted by Oyster HR in a private suite, with approximate retail value of US$200. There are two (2) Prizes available to be won. Notwithstanding any other provision of these terms, an Entrant may only win one (1) Prize.
b. The Prize is non-transferable and no cash, currency conversion, or other substitution of the Prize is permitted, except at the sole option of Oyster for a prize of equal or greater retail value.
c. All incidental expenses associated with attending the event, including but not limited to transportation, accommodation, food and beverages (unless explicitly included as part of the event), are the responsibility of the Winner.
d. The Winner of the Prize shall be solely responsible for any and all federal, state, provincial, and local taxes, if any, that apply to the Prize.
e. The Prize is offered "as is" with no written, express, or implied warranty and no representation or warranty is made by Oyster regarding the appearance, safety or performance of any Prize awarded. Oyster will not replace any lost or stolen Prizes.
3. Draw
There will be two (2) winners of the Sweepstakes (each, a "Winner") selected by random draw by an Oyster representative from among the eligible Entrants. All decisions of Oyster are final and binding in all respects. If a potential Winner (i) is found not to be eligible or not in compliance with these Terms; (ii) the Prize notification is returned as undeliverable; (iii) if the Prize is rejected, or (iv) the Prize is not claimed in accordance with Section 4 below, the potential Winner will be disqualified and the Prize will be forfeited and may be awarded to an alternate Winner or canceled, at Oyster's sole discretion. An official list of Winners can be requested by email to marketing@oysterhr.com with the e-mail subject line: "Request to Identify Sweepstakes Winners." Oyster will disclose the Winners in accordance with applicable law, and upon consent of the Winners where required or necessary.
4. Prize Claim
Instructions on claiming the Prize will be communicated to the Winners by email shortly after the completion of the Draw. Winners must RSVP using the event link that will be provided to them to secure their seat at the event. Oyster is not responsible for any delay or failure to receive such notification for any reason, including inactive email account(s), technical difficulties associated therewith, or a Winner's failure to adequately monitor any email account. Failure to RSVP by the deadline provided in the winner notification may result in forfeiture of the Prize.
5. Proof of Age/Eligibility
The Winner may be asked to provide Oyster with proof of date of birth before receiving their Prize. Oyster reserves the right to require any additional verification of the Winner to confirm the Winner's eligibility in accordance with applicable law.
6. Administration of the Sweepstakes
a. If, for any reason, the Sweepstakes is not capable of running as planned due to any cause beyond the control of Oyster, which could corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes in any way, Oyster may, in its sole discretion, cancel, terminate, modify, or suspend the Sweepstakes.
b. Oyster disclaims all responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, problem or technical malfunctions, technical problems or traffic congestion on the internet, through mobile apps or at any website, or any combination thereof, which may limit Entrants' ability to participate in the Sweepstakes.
c. Where the Sweepstakes involves access or use of a third party website ("Third Party Website"), Entrant understands and agrees that: (a) Oyster has no control over the Third Party Website whatsoever; (b) Entrant is solely and fully responsible for its use of the Third Party Website; and (c) Oyster disclaims any and all responsibility or liability for any harm resulting from Entrant's use of any Third Party Website.
d. Oyster may, in its sole discretion, disqualify, and seek any applicable legal remedies and damages from, any Entrant breaching these Terms or tampering with the entry process or the Entrant in any way.
7. Release of Liability
By entering the Sweepstakes, each Entrant hereby releases and holds Oyster, its affiliates, and their respective directors, officers, employees, suppliers, sponsors, advisors and agents harmless from any and all losses, damages, rights, claims, and actions of any kind in connection with the Sweepstakes or resulting from acceptance, possession, or use of a Prize, including without limitation, personal injury, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy. IN NO EVENT WILL OYSTER BE RESPONSIBLE OR LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE OR OTHER SPECIAL KIND OF LOSS OR DAMAGE ARISING OUT OF THE SWEEPSTAKES.
8. Contact
Oyster is collecting personal information about Entrants only for the purpose of administering the Sweepstakes. If selected as a potential Winner in accordance with these Terms, Oyster may contact the potential Winner at the address provided to determine eligibility and for Prize administration purposes. You consent to Oyster using Your personal data for purposes of administering the Sweeptakes, and on request, Oyster will delete any data You submit in connection with Your entry in the Sweeptakes. Entrants may also continue to receive promotional communications from Oyster if currently subscribed to these communications. Entrants may opt out of marketing communications sent by Oyster at any time by clicking on the unsubscribe link in the marketing email received. All personal information collected in connection with the Sweepstakes will be used in accordance with Oyster's Privacy Policy.
9. Governing Law
These Terms are governed by New York law. All disputes arising out of or relating to these Terms and the Sweepstakes must be resolved through a final, binding, non-appealable arbitration in New York before a single arbitrator under the ICDR's International Expedited Procedures then in effect.
10. Termination
Oyster may amend or terminate all or any portion of the Sweepstakes at any time for any reason without prior notice.
