What are Terms of Use

These Website Terms of Use ("Website Terms") are the rules for using the OysterHR.com website, the Oyster Platform, Oyster Academy, and all other sites owned or operated by Oyster HR, Inc. (collectively, the “Website”). We ask that you read these Website Terms carefully before using the Website.  

‍By accessing, browsing, or otherwise using the Website, You acknowledge that You have read, understand, and agree to be bound by these Website Terms.  If you do not accept these Website Terms, You may not access, browse, or use the Website.

If You are an Oyster Customer or Contractor, or if You have set up an account on the Oyster Platform, the Oyster Terms and Conditions govern your use of the Oyster Platform and Oyster Services. These Website Terms will govern Your general use of the Website, but in the event of any conflict between these Website Terms and the Oyster Terms and Conditions, the Oyster Terms and Conditions control.

The Website, including www.oysterhr.com, the Oyster Platform (accessible through app.oysterhr.com), and Oyster Academy (hosted at oysteracademy.thinkific.com), is operated by Oyster HR, Inc. (“Oyster,” "We," "Our"). Oyster is a technology-enabled global employment enablement/empowerment platform that allows companies to build a globally-distributed team. We are a fully distributed, public benefit corporation, with our registered office at Brandywine Plaza,1521 Concord Pike Suite 201, Wilmington, DE 19803 USA. We are not a law firm. You understand and agree that Oyster is not a law firm or an attorney, may not perform services performed by an attorney, and is not a substitute for the advice or services of an attorney. No attorney-client relationship or privilege is created between You and Oyster through Your use of the Website or any interaction with Oyster. Oyster strives to keep its legal documents accurate, current, and up-to-date. But the law changes rapidly, is different from jurisdiction to jurisdiction, and may be subject to interpretation by different courts. The law is a personal matter, and no general information or tool (like the Oyster Website) can fit every circumstance. Further, the legal information contained on the Website is not legal advice and is not guaranteed to be correct, complete, or up-to-date. Oyster's Worldwide Referral Network

We may provide access through the Website to a referral network of professional advisors or service providers, such as legal or tax professionals offering their services in furtherance of Oyster’s public-benefit mission. Any information provided regarding this network, or a referral to the network, is for Your convenience only; such information is not a lawyer referral service, a fee-splitting service, or any other type of referral that otherwise requires a license or results in a shared service being offered by, or through, Oyster. Any referral network, directory, or information  published on the Website is provided to the public freely and is for informational purposes only. Oyster does not endorse or recommend any person or entity whose information is provided to You through the Website and does not make any warranty about their qualifications or competency. Before You engage the services of any licensed professional or service provider listed on our Website, You should verify the individual’s standing with the local licensing authority and their competency to provide a service that meets your needs. While Oyster requires any licensed professional or service provider to warrant that they comply with all applicable regulatory bodies necessary to render services to a third party, professional codes of conduct, and recommended best practices, Oyster cannot, and does not, monitor their compliance with those regulatory bodies, codes of conduct, and best practices.  Therefore, Oyster is not responsible for the actions, representations, or omissions of any licensed professional or service provider listed as a referral source on the Website. If You enter into an agreement with any licensed professional or service provider, such as an engagement for legal or tax services, that agreement is between the third-party professional and You only. Oyster is not a party to the agreement. Oyster has no responsibility or liability of any kind for any services rendered by any licensed professional or service provider engaged by You. Any use or reliance on a licensed professional or service provider for their services, such as legal or tax services, is solely at Your own risk.  Any information, comments, opinions, or advice provided by a licensed professional or service provider on or through the Website or anywhere else are the opinions and responsibility of that processional or service provider. Oyster is in no way affiliated with, an agent of, or responsible for any licensed professional’s information, comments, opinions, or advice.

  • Our Terms and Conditions sets out the rights and obligations for how Oyster grants Customers access to the Platform and Services available through the Platform and sets forth the contractual relationship with Customers. 

  • Our Developer Terms govern the use of our Developer Tools, accessible through the Oyster Platform.

  • Accessing the Website and the Oyster Platform requires that You are at least 18 years of age and legally able to enter into a contract.

The Only Constant: Changes to Site and Terms

Laws change, technology changes, Our product evolves, and Your feedback makes us better, but it also leads to more changes.  For all of these reasons, We may change these Website Terms.  Every time You wish to use Our Website, please check these Website Terms to ensure You understand the Website Terms that apply at that time.  The effective date of the changes will always be at the top of the Website Terms. 

We may also change the Website itself.  We do not guarantee that Our Website, or any content on it, will always be available or be uninterrupted. We may suspend, withdraw, or restrict the availability of all or any part of our Website at any time and for any reason without prior notice or liability.

‍Accessing Our Site

To access some of Our services, such as the Oyster Platform and Oyster Academy, You need to create an account.  You cannot use someone else’s account, login, or password to access any portion of the Website.  Choose Your password wisely, and keep Your account details safe.  Sharing it, intentionally or not, makes You liable for any losses due to someone else’s use of Your account. If You know or suspect that anyone other than You knows Your user identification code or password, You must promptly notify us at http://support.oysterhr.com

We reserve the right to disable any user account or password at any time, for any reason.

For verification purposes or in connection with the use of certain services, You may be asked to provide PII in a questionnaire, application, form, or similar document or service. This information will be protected pursuant to our Privacy Notices, as set forth above.

To assist with troubleshooting, Our Platform provides Oyster Staff with the ability to login as a Platform user without credentials; we call this feature “Impersonation.” You have control of Impersonation on your profile and may turn it on and off at any time in Your Platform account settings. All activity that occurs while an Oyster Staff member is using the Impersonation feature is logged for audit and security purposes. If You turn this feature off, you acknowledge that Oyster Staff members may be unable to provide You with Our highest level of support. And by turning this feature on, You acknowledge and agree that Oyster Staff members may login to Your user profile to Impersonate You, solely for the purposes of troubleshooting and resolving any issues You may have when using the Oyster Platform.

How You May Use Material on Our Site

We are the owner or the licensee of all intellectual property rights in and to the Website and in and to all material published on it. All such works are protected by intellectual property laws and treaties around the world. All such rights are reserved. You may print off one copy, and may download extracts, of any page(s) from our Website for Your personal use, and You may draw the attention of others within Your organization to content posted on our Website. But you may NOT modify the paper or digital copies of any materials You have printed off or downloaded in any way; You may not use any illustrations, photographs, video, or audio sequences or any graphics separately from any accompanying text; and You may not further reproduce or create derivative works in any such paper or digital copies. Our status (and that of any identified contributors) as the authors of content on Our Website must always be acknowledged. You may not use any part of the content on our Website for commercial purposes without obtaining a license to do so from Us or Our licensors. Our content standards are straightforward: be respectful and lawful.

Be Respectful. You may not use the Website to transmit, retrieve, or store any communications or other content of a defamatory, discriminatory, harassing, or pornographic nature. No messages with derogatory or inflammatory remarks about an individual’s race, age, disability, religion, national origin, ethnicity, nation of citizenship, physical attributes, political affiliation, socio-economic status, or sexual preference may be transmitted. Harassment of any kind is strictly prohibited.

Be Lawful. Disparaging, abusive, profane, or offensive language and any illegal activities—including piracy, cracking, extortion, blackmail, copyright infringement and unauthorized access—are forbidden.

Interacting With and Uploading Content to Our Site

You retain all of your ownership rights in content that you submit to the Website ("Your Content"), but you are required to, and hereby do, grant Oyster a worldwide, royalty free, non-exclusive, fully sublicensable license to use, store, and copy Your Content, and to distribute and make it available to third parties. You are solely responsible for securing and backing up Your Content; for the accuracy, quality, integrity, appropriateness, of Your Content; and for securing any and all intellectual property ownership right(s) in Your Content. Therefore, You represent and warrant that You have all right, title, and interest necessary to submit Your Content to the Website.

You acknowledge and agree that Oyster, in accordance with Our Privacy Notice, has the right to aggregate data submitted to, collected by, or generated by Oyster through the Website or in connection with Our services in a non-identifiable format and to freely use the aggregated data for Our own business purposes, including to improve, support, or expand the Website or Our services. All aggregated data that we disclose to third parties will be in anonymous, de-identified form only and will not be specifically linked to You or to any individual.

Whenever You use a feature that allows You to upload content to our Website, or to make contact with other users of our Website, You must comply with the content standards above.  You agree that Your Content will comply with those standards, and We have the right to remove any of Your Content from the Website if, in Our opinion and at Our sole discretion, Your Content does not comply with those standards. You also agree that You will be responsible for Your failure to comply with those standards.

As set forth further below, You hereby agree to fully indemnify Oyster for and against: (a) any claims by third parties that any of Your Content infringes on such third parties' rights in the same; or (b) any claims by third parties as a result of your failure to comply with the content standards above. You further agree that Oyster has the right to disclose Your identity to any third party where such a third party claims that Your Content constitutes a violation of their intellectual property rights or of their right to privacy.   

Finally, we welcome feedback, comments, and suggestions for improvements (“Feedback”). You acknowledge and expressly agree that any contribution of Feedback by You does not and will not give or grant You any right, title, or interest in the Website, Our products and services, or in any such Feedback. All Feedback will become the sole and exclusive property of Oyster, and Oyster may use and disclose Feedback in any manner and for any purpose whatsoever without further notice or compensation to You and without retention by You of any proprietary rights or other right or claim. By submitting the Feedback to Oyster, You are assigning to Oyster any and all right, title, and interest to any patent, copyright, trade secret, trademark, show-how, know-how, moral rights, and any and all other intellectual property rights that You may have in and to any and all Feedback or any resulting work of authorship or invention.

All rights, title, and interest in and to the materials provided on the Website, including but not limited to information, documents, logos, graphics, sounds, and images (the “Materials”) are owned either by Oyster or are licensed to Oyster by our respective third party authors, developers, or vendors. The trademarks, service marks, and logos of Oyster used and displayed on the Website are registered or unregistered trademarks or service marks of Oyster. You are not permitted to use them without Our written approval. Use of any trademarks as part of a link to or from any website is also prohibited without Oyster’s prior written consent. Certain other elements of the Website are protected by trade dress, trademark, unfair competition, and other state and federal laws and, as with Our trademarks, may not be copied or imitated in whole or in part, by any means, including but not limited to, the use of framing or mirrors. None of the content on the Website may be retransmitted without express written consent from Oyster for each and every instance. Any rights not expressly granted herein are reserved by Oyster.

The Digital Millennium Copyright Act of 1998 (the “DMCA”) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law.  If you believe in good faith that material on the Website infringes Your copyright, You (or Your agent) may send us a notice requesting that the material be removed, or access to it blocked. No One Likes a Virus

Unfortunately, We cannot and do not guarantee that Our Website will be secure or free from bugs or viruses. You are responsible for configuring Your devices, information technology, programs, and platform to access Our Website. We strongly suggest that You use virus protection software.

You must not misuse Our Website by knowingly introducing viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful. You must not attempt to gain unauthorized access to Our Website, the server on which Our Website is hosted, or any server, computer, or database connected to Our Website. You must not attack Our Website via any means, including but not limited to a denial-of-service attack or a distributed denial-of-service attack. By breaching this provision, You would commit a criminal offense under any number of national and international laws and regulations. We will report any such breach to the relevant law enforcement authorities, and We will cooperate with those authorities by disclosing Your identity to them. When Things Go Wrong

Sometimes, despite best efforts, things go wrong.  Whether You are a consumer or a business user, Oyster does not exclude or limit Our liability to You where it would be unlawful to do so.  With regard to the use of the Website:  

  • If You are a business user, We exclude all implied conditions, warranties, representations, or other terms that may apply to the Website or any content on it. We will not be liable to You for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with: use of, or inability to use, Our Website; or use of or reliance on any content displayed on Our Website. In particular, We will not be liable for any indirect or consequential loss or damage.

  • If You are a consumer user, please note that We only provide Our Website for personal and private use. You agree not to use Our Website for any commercial or business purposes, and We have no liability to You for any loss of profit, loss of business, business interruption, or loss of business opportunity.  If defective digital content that We have supplied damages a device or digital content belonging to You and this is caused by Our failure to use reasonable care and skill, we will either repair the damage or pay You reasonable compensation. We will not, however, be liable for damage that You could have avoided by following Our advice or by acting in a commercially reasonable manner relative to your own systems or software, including but not limited to keeping your own software up to date and installing and maintaining antivirus software on your device(s).

For any Oyster Customers or Contractors or any other natural or legal person that has agreed to the Oyster Terms and Conditions, specific limitations and exclusions of liability related to Your access of our Platform and Our provision of Services to You through the Platform are explained in our Terms and Conditions.

If You breach these Website Terms through Your access to, use, or misuse of the Website or any content on it, You agree to hold Oyster harmless, defend, and indemnify Oyster against any claims, action, or demands, including, without limitation, reasonable legal and accounting fees, arising or resulting from your breach. Oyster will provide notice to You of any such claim, suit, or proceeding. Oyster reserves the right to assume the exclusive defense and control of any matter that is subject to indemnification under this section. In such case, You agree to cooperate with any reasonable requests to assist in Oyster’s defense of such matter.

Integrations

We all love the clever tech wizardry that lets our system play nice with others -- those "APIs" and other connections we use to link up with your favorite third-party sites and tools (collectively, “Third-Party Integrations”). We love offering these integration capabilities, and We're sure they'll make Your experience with the Website even better!

Unfortunately, we live in a world where things don't always go as planned. Sometimes these Third Party Integrations might not work as expected, or they may be unavailable. Or You might accidentally hit the wrong button while configuring Your settings. Oyster is not, under any circumstances, liable for any unavailable services, mistakes, mishaps, damages, or any other undesirable or unexpected outcomes that arise from or are related to your use of these Third Party Integrations, whether because the Third Party Integration stops working, or because of a misconfiguration on your part.

We’ll always do our best to help, but we can't be held responsible, and You agree not to hold us responsible, if a Third Party Integration stops working or if You set things up incorrectly.

Additionally, because many of these Third-Party Integrations are designed to send and receive PII, (that Personally Identifiable Information discussed above), it is important to recognize that our Customers, not Oyster, will control what information is sent and received through Third-Party Integrations. So by using any Third-Party Integration, You represent and warrant that You have all appropriate authority or consent that may be necessary under applicable law, including any law governing the processing of Team Member data, to use such Third-Party Integration(s) and to send or retrieve any PII to or from the Website or Platform and any third-party system.

Artificial Intelligence

We may incorporate artificial intelligence (“AI Systems”) and other advanced technologies into the Website, striving to deliver the best user experience possible, including AI Systems that create new content, such as text, images, or videos, by learning from and mimicking existing data based on user-supplied prompts (“Generative AI Tools”). These tools and systems have a lot of potential, but they are still developing and are not without their complexities.

Like any technology, AI Systems and related Third-Party Integrations may not always function as intended. While We work diligently to maintain the highest standards of performance, there may be times when these systems encounter glitches or performance issues. You agree that We cannot be held liable for any errors, complications, or other undesirable outcomes resulting from the use of AI Systems or any related Third-Party Integrations, including any issues that may arise from system malfunctions, unexpected behavior of AI, or failure of related Third-Party Integrations to perform as intended.

We use all Generative AI Tools in material compliance with their applicable license terms, consents, agreements, and laws; We have not and do not include any sensitive personal information, trade secrets, or material Confidential Information in any prompts or inputs into any Generative AI Tools, unless we confirm that the Generative AI Tools will not use the information, prompts, or services to train the Generative AI Tool (or its algorithm) or to improve the Generative AI Tool in any respect; and We have not used Generative AI Tools to develop any material Intellectual Property in a manner that We believe would materially affect Our ownership or rights therein.

You acknowledge that any use of AI involves inherent risks, such as bias risk, security risk, privacy risk, lack of transparency, misleading messaging, improper use by end users, and unpredictable system behavior. We take all reasonable precautions to mitigate risks through internal policies and procedures and compliance with applicable law, but we cannot provide a guarantee that nothing will go wrong. By using the Website and any AI-related services, if and when available, You acknowledge and accept these risks and agree not to hold Us responsible for any related issues.

You also agree not to use, disclose, or reproduce (and agree to take commercially reasonable measures to prohibit others from using, disclosing, or reproducing) any of the content on Our Website for the purposes of developing, training, or otherwise using or improving any AI Systems, whether or not such AI Systems would make the content available to the public.

Developers

As part of the Oyster Platform, we may provide You with access to Oyster’s API credentials and other documents, code, software development kits and other utilities (“Developer Tools”) that will allow You to connect the Oyster Platform to a third-party system or service that (a) allows data, including but not limited to personal data, to be transmitted to or from the Oyster Platform, or (b) provides additional functionality to the Website (each such system a “Third-Party Integration”) (collectively, the “Developer Service”). If You elect to use the Developer Service or any Third-Party Integration, acknowledge and agree that You will be deemed a “Developer” and that Your use of the Developer Service or any Third-Party Integration will be governed by Oyster’s Developer Terms, including all representations, warranties, indemnification, and limitations of liability included therein.

‍Which Country's Laws Apply to Disputes

The Website is hosted in various locations, including but not limited to the following:

We make no claims concerning whether the content on the Website may be downloaded, viewed, or be appropriate for use outside of the jurisdiction in which it is hosted. If You access the Website or its content from outside of that location, You do so at Your own risk. Whether inside or outside of the United States, You are solely responsible for ensuring compliance with the laws of Your specific jurisdiction.

The United States controls the export of products and information. You expressly agree to comply with such restrictions and not to export or re-export any of the Website content to countries or persons prohibited under applicable export control laws. By downloading the Website content, You expressly agree that You are not in a country where such export is prohibited and are not a person or entity for which or to whom such export is prohibited. Further, You are solely responsible for compliance with the laws of Your specific jurisdiction regarding the import, export, or re-export of the Website content.

The Website content is provided with “RESTRICTED RIGHTS.”  Use, duplication, or disclosure by the government is subject to the restrictions contained in 48 CFR 52.227-19 and 48 CFR 252.227-7013 et seq. or its successor. Use of the Website or content on it by the government constitutes acknowledgement of Our proprietary rights in the Website and Website content.

These Website Terms are governed by the laws of the State of New York, USA, without respect to its conflict of laws provisions. You expressly agree to submit to the exclusive personal jurisdiction of the state and federal courts of the State of New York. If any provision of these Website Terms are found to be invalid by any court having competent jurisdiction, the invalidity of such provision does not affect the validity of the remaining provisions of these Website Terms, which shall remain in full force and effect. Failure of Oyster to act on or enforce any provision of this agreement will not be construed as a waiver of that provision or any other provision in these Website Terms. No waiver is effective against Oyster unless made in writing, and no such waiver will be construed as a waiver in any other or subsequent instance. Except as expressly agreed by Oyster and You, these Website Terms constitute the entire agreement between You and Oyster with respect to the subject matter and supersede all previous or contemporaneous agreements, whether written or oral, between You and Oyster with respect to the subject matter. These Website Terms will inure to the benefit of Our successors, assigns, licensees, and sublicensees.

THE WEBSITE AND ALL MATERIALS, DOCUMENTS, FORMS, AND OTHER PRODUCTS AND SERVICES PROVIDED ON OR THROUGH YOUR USE OF THE WEBSITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, OYSTER EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
